Terms of Service

Please read these Terms of Service (“Terms”) carefully before using Todonize (the “App”), developed by noels works (“we”, “our”, or “us”). By using the App, you agree to be bound by these Terms.

1. Eligibility

You must be at least 13 years old (or the equivalent age of digital consent in your jurisdiction) to use the App.

2. License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes, in accordance with these Terms and the Apple Media Services Terms and Conditions.

3. Account

You must sign in with your Apple ID (via Sign in with Apple) to use the App. You are responsible for maintaining the confidentiality of your Apple ID credentials.

You may delete your account at any time from within the App (Settings → Account → Delete Account). Account deletion permanently removes your data from our system.

4. In-App Purchases and Subscriptions

The App offers a “Sharing” subscription that enables you to share projects with other users:

Price: 100 yen per month (or local equivalent set by Apple).
Billing Period: Monthly auto-renewal.
Auto-Renewal: The subscription automatically renews unless cancelled at least 24 hours before the end of the current period.
Cancellation: Manage or cancel anytime in your App Store account settings.
Refunds: All payments are non-refundable except as required by applicable law or by Apple’s refund policy. Contact Apple for refund requests.

4.2 Effect of Cancellation

After cancellation, you may continue to view shared projects in read-only mode. New sharing and edits to shared content require an active subscription.

5. Acceptable Use

You agree not to:

Use the App for any unlawful purpose.
Attempt to reverse engineer, decompile, or otherwise access the App’s source code or systems.
Use the App to harass, threaten, or violate the rights of others.
Share content that infringes intellectual property rights.
Interfere with the App’s normal operation or other users’ experience.

6. User Content

You retain ownership of the tasks, projects, comments, and other content you create in the App (“User Content”). By using the sharing feature, you grant other invited participants the right to view (and, if granted, edit) your shared User Content for the duration of the share.

We do not access, use, or distribute your User Content beyond what is technically necessary to provide the App’s functionality.

7. Disclaimers

The App is provided “AS IS” and “AS AVAILABLE”, without warranty of any kind, express or implied, including but not limited to fitness for a particular purpose, merchantability, or non-infringement.

We do not warrant that:

The App will be uninterrupted, error-free, or secure.
Your data will not be lost (although we rely on Apple’s iCloud for data storage).
Defects will be corrected.

8. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of revenue, or business interruption, arising out of or in connection with your use of the App.

Our total liability to you for any claim arising out of or relating to these Terms or the App shall not exceed the amount you paid us, if any, in the 12 months preceding the claim.

9. iCloud and Apple Services

The App relies on Apple’s iCloud and CloudKit services for data storage, synchronization, and sharing. We are not responsible for outages, data loss, or issues caused by Apple’s services. Use of iCloud is governed by Apple’s terms.

10. Termination

We may terminate or suspend your access to the App at any time, with or without notice, for any reason including violation of these Terms. Upon termination, your right to use the App ceases immediately.

You may stop using the App at any time. To delete your data, use the in-app account deletion feature.

11. Changes to Terms

We may revise these Terms from time to time. Material changes will be announced through the App or App Store listing. Continued use of the App after changes constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of Japan, without regard to its conflict-of-laws principles. Any disputes shall be resolved in the courts located in Tokyo, Japan, unless prohibited by mandatory consumer protection law in your country of residence.
